Really weird issue. (PLEASE HELP)

Default Really weird issue. (PLEASE HELP)

Hey everyone, im having a SUPER weird issue with my sc300. So basically, (while im driving anywhere from 10-100mph) it will just randomly rev up 1000rpms or so and stay there until i either slow down or speed up enough for it to switch gears. It will freak out if im going over 80mph and jump from 3k-4k every few seconds, which obviously scared the living **** out of me. Anyways, I have been experimenting and driving with OD (overdrive) OFF for a week or so now, and it hasnt happened at all. Does anyone know what it might be? I'm getting HORRIBLE gas mileage with OD off and I would like to fix it. Let me know, thanks!

EDIT: Its not the transmission slipping btw, I have already have someone tell me that... Its not upshifting or downshifting, I would probably be able to tell because theres absolutely no lurch or anything like there normally is when my tranny switches gears.
