the engine knocks, im guessing its the lifters, i pulled off the covers n found sludege so i had an engine flush done its still clicking, i tried engine stableizer n its still clicking, and when i put the tranny on drive the whole car jumps, but its a smooth ride, i wanna do more to the car but everyone says its a bad investment =[

Knocks or clicking??? The 1UZ motors in these cars (especially the earlier gens like your and mine) were famous for developing a valve tap over time. Is more annoying than anything else. The fix for it is a valve adjustment, the mechanic will have to install shims to correct the problem. Only bad thing about this is, if you are not mechanically inclined, or know someone who can do this, the fix is at least $1K. As far as the tranny,, I would recommend a drain (not flush) and fill using Toyota tranny fluid. Lexus transmissions are VERY sensitive to foreign fliuds, so a drain and fill may help your problem. This is the fluid you need to use in the tranny. You can buy it from Lexus, but cheaper if you buy from Toyota dealer. Could also be a tranny mount, which wears out over time. These cars are very good, but can be a bit of a hassle, if you got one that has been a little neglected. The money you invest in it will continue to improve it; just depends on how much you like the car, and what you are comfortable with investing.

its got 180xxx on it, its more of a click then a knock, its very stable and repetative, the car is fine and can handle very high speeds, but i dont want to put money into it if both the engine and tranny are showing signs of age =P im ganna have the tranny drained soon and see if it still jumps, if not i will check the mounts,

I personally would get the full tranny flush from a reputable shop of course...Only use T4 Toyota fluid...I would also replace the engine mounts along with the tranny mount...15 years on the road has worn the rubber down..so much heat...plus Texas heat! Your car will purr like a kitten!
