Will a 95-96 sc300 spoiler fit on a 97+ trunk or will I have to drill new holes?

Yes it will fit, yes you will have to drill new holes.

Most people that want a 95-96 spoiler usually trade their 97+ trunk&spoiler for a 95-96 spoiler&trunk just so they don't have to deal with drilling holes and what not. Sometimes you'll see somebody wanting to trade in the classifieds.

Agreed, this would be a lot easier. I bought a 96 spoiler and it has studs on it for mounting which are permanently fixed to the spoiler. This makes it extremely difficult to figure out where to drill the holes because it will not sit flat on the trunk. I looked underneath of my trunk to see if maybe the factory marked the holes but I did not see anything. This is a factory spoiler with the brake light. Others may be different.
