2007 RX350 good price?

I'm in the Northeast and am interested in a 2007 RX350, w/o Nav, MSRP is $43k. I've been quoted $38.5k....is this a good price before tag, tax, processing fee, title?
Also, with the 2008 coming out in Feb, should I wait a few weeks to see if the 2007 price will drop?
Last, is December to Remember just another marketing scheme to get people in the door? Are there truly any significant savings before 1/2/07?
