I want to up grade my LX470 2002 to 2007 if any one have done this before please guide me. total how many items I have to change.

From the rear:

Remove and replace back door to accomodate 2007 LED brake lights, backup lights, etc.
Remove and replace dash panel for 2007 ML nav system
Remove nad replace engine and transmission for the 2007 higher output one (Just teasen)
Remove and replace the wheels with the 2007 style 18" 5 spokes ones (I have a set for sale).
Remove and replace the front Lexus frame with the 2007 style.\

Total replacement costs: $15,000. Since they are Lexus parts. Kidding aside, trade in your vehicle to a 2007 if you find a good deal bro - it's the best way to go.
