i drove my mom's 03 ES300 for few days, and i realized that the transmission feels kinda laggy between shifting. gear does engage, but not right away. this happens 1 or 2 times during 30 min commute. car has 64,000 miles. is the transmission ****ed? or just time for new transmission fluid?

yeah i have 03 ES300 as well. Wow...yours only have 64K miles ?? dude....that's really low mine is 105K already....
