Would it be worht it?
I was in a similar situation a few months ago and backed out of getting an 04 thanks to sound advice from this forum.

Ultimately I found out for myself that It IS essentially the same car. My 01 is flawless with no mechanical problems. Side by side only a Lexus enthusiast can tell the difference. So I'll wait till the Ls460's are within my budget. The Jeep Cherokee SRT-8 is also on my wish list

2001-2006 parts are the same for most aspects of the car. Quality/reliability of most components are exactly the same for that 6 year range.
For going into debt $7k, you get newer styled front and rear fascia, HID projectors instead of reflectors, 6 speed transmission, and all the various UL features, most notably the expensive-to-repair air suspension.
You have to decide if those few things are worth $7k to you. I don't see any benefit of going from 03 to 05 for that price. I suggest you save your money and use it elsewhere.

You have an 03 with 94k and owe 9k on it. You are going to get 11k-14k for trade, giving you the 2k-5k as a down payment, like you said, right?
You then plan on being 7k more in debt than you are now, which would mean your note on the 2005 UL is going to be 16k, right?
So assuming you get the full 14k for your car, and have a note for 16k, that means that you are buying a 2005 UL with 50k miles for 21k dollars. I don't see how you could NOT buy it at that price. Make sure you can get a warranty on it, but there are plenty of places that sell warranties. I'm assuming it is not a CPO, otherwise it would be priced closer to 30k. You will love the UL, especially for that price.

this was my thinking but just that it is a hassle to get up and running in a new car after you take care of all the paperwork. plus your loosing the suspension of the old car.
which color combo's do you like more???
That is kinda what I was thinking about when looking at the UL, but I really like the idea of having no car payment. I think I may pay off the 03 and then hit my school loans hard. Eight years of school was not cheap. I don't have much other debt then school and mortgage, besides business debt, but that will always be there.
