1st gen is 90 degrees to the right and 2nd gen i straight to the front or zero degree. If the bolts pattern is same, then it should fit. If it does fit. Placing a Top Mount Intercooler is much easier.

I presume you mean the entire intake manifold both the upper and lower parts? Also, by 2nd gen I assume you mean the 98 and newer engine parts for the VVTi engine. The 90-94 cars are considered 1st gen. 95-97 2nd gen. The intake manifold for both 1st and 2nd gen cars look the same. 98-2000 cars have the front located throttle body that you speak of. This manifold has a variable plenum chamber so that function would probably be lost with a retrofit. 2001 and newer LS4xx are 4th (also 4.3 liter displacement).
I just bought a 98 LS400. It is back at the dealer getting a proper wheel alignment. I will try to get an response from one of the technicians on this possible swap. I will also pull the engine cover to give my own impressions.
