If you are ok with the exact same engine and roughly same performance numbers but with a better suspension, handling chassis and a much nicer interior with fold down rear seats then go for it.

the 3IS is all about new styling, better interior room, and most notably, handling improvements.
Powertrain-wise, even though the engine is the same (and 6-speed on AWDs is the same too), transmissions in the 3IS allow more control to the driver compared to the 2IS. For instance, in the 2IS, when you move the selector to manual, it defaults to 4th gear regardless of speed and behaves more like an automatic shifting up to the gear you select. In the 3IS, once minimum gear speeds are hit, you have full control of shifting into the gear you want up until red line where it will (only then) shift to the next gear. Even downshifting is quicker with rev-matching blips.
I had a 2IS 250 AWD and now a 3IS 250 AWD - big difference in driving experience even with the same engine/tranny hardware thanks to software updates and major chassis/suspension revisions.

I would keep the 2012. I have a 2015 350 and I hate the new tranny. 8 speeds feels like too many and it makes the care very laggy (in standard mode) over my previous 2008 IS350. Since you have a 2012 I would wait until 2016 or 2017 and see if they roll out a new engine for the 350. A 300t would be nice.
