Look's like it's in great condition, you should have no problem trying to sell it.
I would have taken it off of you hands, if you were closer. All of the one's near me are high mileage, I plan on holding out till I see one with low miles, and in showroom condition.

NJ, so not too far at all. Now, knowing that you are in NY you can probably price it higher. Because these ES300's are going for high $6k to $7k (in my area at least), and they aren't even that clean, and they have high miles. You should list for around $7,500 and let the buyer negotiate due to it needing a timing belt soon.
I'm still gonna hold out for something with low miles...Hopefully it's possible. I've seen two with 50k miles online, so I'm hoping one will pop up in my area soon.

If you ask $5k, the best you'll probably get is $4500, which in my opinion is under priced for such a clean example.
There's plenty of people that are willing to pay a nice premium for a really clean car with low miles.

I agree with the others, $2,800 is only about half of what you could get if you sold it yourself.
I've seen this before, a mechanic says a car needs all kinds of work, but he'll take it off your hands for some low ball amount and make the repairs himself. He'll easily flip that car and nearly double his money.
I'd pass on the repairs, put it up an ad on Craig's List and sell it as is for $6,000 obo and see what happens. A car in that pristine condition will sell quickly, even with some small issues. I bet the first person that sees it, buys it.

Is the mechanic offering you $2800 the same one who did the original inspection? Why is he convinced that the car needs a catalytic converter? What CEL code are you getting?
I would not sell that car for $2800. That's what I paid for mine and it's a year older. It also had 75,000 extra miles, two dents, a busted headlight, seized front brakes, leaky valve covers, some burnt out radio lights and a bunch of other little stuff that I didn't catch. You car is mint compared to what I got.
Bottom line: get a second opinion on the car and do the timing belt. Having the TB done will drastically raise the appeal of the car.

I'd actually ask at least $6k, you can always lower a price but you can't raise it. If you get zero interest after a week or two, you'll know it's too high.

I personally would buy a slightly higher mileage '01, say 154k, for 5400$ vs. something less miles but older for more money, that needs MORE money INTO it first thing when driving it away...

I think he can get close to $6k for the car, that's about as perfect as they come, it looks like it's in showroom condition. People will pay a premium for one that clean, most of the ES's you see on the road of that era are pretty beat.
The mechanic is offering him $2,800, he throws a timing belt in and maybe a few other parts for a few hundred (obviously a mechanic isn't going to be paying a shop for labor) and sells it for around $6,000.
Pretty close to doubling your money in my book.
Not saying the mechanic's wrong to do it (I've bought and flipped cars that needed repairs) but he's certainly not making the offer out of the goodness of his heart.
My advice to the OP: sell it yourself on CraigsList 'as is' and ask $6k and see what happens. There's no "risk" to seeing if you can get a few extra grand for yourself.

Need more info than that man! "well kept car" meaning what? Any accidents? Has the tranny had problems/been rebuilt? When was the timing belt done? How many owners? Is the car from the West Coast or came from somewhere else? How does the Leather look?
