Default Potential buyer - please advise

I've been on the forums for a LONG time and never expected to post a thread in this section but here it goes. I'm looking for a replacement on my 2001 GS430 254k miles and was offered potentially $3k at dealership ($2k at Carmax; KBB private $4500 if I'm lucky). My question is if you feel my swapping for my vehicle for this one would be a sound financial decision:

2008 Lexus ES 350
81k miles
V6 3.5L FWD 6-speed with overdrive
$19,988 at dealership
Acc. to Carfax, 1 owner from 1/2009 to 8/2014

I see the KBB is around $15k and I'm trying to talk the salesperson down a few thousand to possibly $17k because I understand they gotta keep the lights and AC on at the place.

Took it for a test drive today and solid performance. Exterior is a 9/10 and interior is a 8/10. Very light scuffing on the armest.

Questions:
1) Yes/No - why?
2) Any things I should be careful about?

Price is too high, I got a 2010 ES350 with Nav and 58k miles for $19.5k in May, so you are definitely paying too much for that.

Helpful hint for your search...always capture the VIN of the vehicle you are interested in. With the VIN you can register the vehicle on lexus owners and pull up the service history of the car as long as the dealer has been reporting the info to lexus. My thought on this is if the original owner took to it to a lexus/toyota dealership for service on time when needed chances are the vehicle is great shape. Only thing missing then is the accident check...
